Main Principles of Remuneration for Members of the Management Board and the Board of Directors

The objective of the salary and bonus policy for members of the Management Board is to stimulate diligent, efficient, and high-quality work, ensuring fair remuneration based on the complexity and volume of the performed tasks, the held position, and the personal contribution to the fulfillment of the Bank's objectives.

The year-end performance bonus for members of the Management Board is a form of compensation intended to incentivize labor efficiency. It is paid out depending on the results achieved against strategic key performance indicators and the performance evaluation results, by decision of the Bank's Board of Directors.

The evaluation of the Management Board members' performance is carried out on the basis of key performance indicators (KPIs), upon the results of which remuneration may be disbursed. The performance evaluation procedure for members of the Management Board consists of the following stages:

1) selection of KPIs, setting target values, alignment of KPI scorecards with the authorized collegial body of the Sole Shareholder;

2)  approval of KPI scorecards;

3) calculation and alignment of the actual performance results with the authorized collegial body of the Sole Shareholder and the Internal Audit Department;

4) adoption of a decision by the Bank's Board of Directors on the payment/non-payment of performance-based remuneration for the reporting year, based on the recommendations of the Committee.

No bonuses or remunerations are paid to members of the Bank's Board of Directors who represent the Sole Shareholder—JSC "NIH "Baiterek". Remuneration for independent directors who are members of the Bank's Board of Directors is established in accordance with the Regulation on the Bank's Board of Directors.

The amounts of remuneration are determined in the manner prescribed by the legislation of the Republic of Kazakhstan and the Charter of the Bank, taking into account the experience and qualifications of the independent director.

In 2025, the total amount of remuneration paid to independent directors—members of the Board of Directors—along with the remuneration and bonuses paid to members of the Bank's Management Board, amounted to 471.7 million tenge.
