The Bank discloses all necessary information to the Sole Shareholder regarding the terms and procedure for dividend payments, the financial position of the Bank, and other details. For dividend payments, the Bank is guided by the procedure for determining the size of dividends paid by subsidiary organizations of the Holding, approved by the Sole Shareholder.

The calculation of the dividend amount is based on the net income of the Bank reflected in the annual audited financial statements of the Bank. The size of dividends is determined taking into account the legislation of the Republic of Kazakhstan. The dividend amount can be determined by the Sole Shareholder via a special procedure when considering the approval of the profit distribution method for the respective periods.

The nominal value of shares is 10,000.00 tenge per 1 ordinary share.

On May 21, 2025, the Sole Shareholder of the Bank adopted a decision (as amended on December 30, 2025) on the distribution of the Bank's net profit for 2024 and the payment of dividends for a total amount of 100,004,603 thousand tenge, with the dividend per one ordinary share amounting to 12,771.98 tenge. The final dividend tranche was paid on December 30, 2025 (2024: The total amount of dividends for 2023 was 44,258,292 thousand tenge, and the dividend per one ordinary share was 5,652.40 tenge. The dividends were paid on August 12, 2024).

Based on the decision of the Sole Shareholder, amendments were made to the prospectus for the issuance of authorized shares of the Bank to increase the number of authorized shares of the Bank by 4,990 thousand units to a total number of 12,820 thousand units. The amendments to the authorized share issuance prospectus were registered with the Agency for Regulation and Development of the Financial Market of the Republic of Kazakhstan in January 2023. As of December 31, 2025, no placement of the authorized shares has been carried out.
