The Bank discloses all necessary information to the Sole Shareholder regarding the terms and procedure of dividend payment, financial position of the Bank, and other matters. To pay dividends, the Bank is guided by the Procedure for Determining the Amount of Dividends to be Paid by the Holding’s Subsidiaries, approved by the Sole Shareholder.
The amount of dividends is calculated based on the amount of the Bank’s net income as disclosed in the Bank’s annual audited financial statements. At the same time, the amount of dividends is determined taking into account the laws of the Republic of Kazakhstan.
The amount of dividends may be determined by the Sole Shareholder in a special order when considering the issue on approval of the procedure of profit distribution for the relevant periods.
The par value of shares is KZT 10,000.00 per 1 common share.
On 15 May 2024, the Sole Shareholder of the Bank adopted a resolution on distribution of the Bank’s net profit for 2023 and payment of dividends in the total amount of KZT 44,258,292 thousand, the amount of dividends per common share was KZT 5 652,40. Dividends were paid on 12 August 2024 (In 2023: Total dividends for 2022 amounted to KZT 67,224,699 thousand, dividends per common share amounted to KZT 8 585,53. The dividends were paid on 18 August 2023).
Based on the resolution of the Parent Company, the Bank’s authorized share issue prospectus was amended to increase the number of authorized shares by 4,990 thousand, bringing the total authorized shares to 12,820 thousand. This amendment was registered with the Agency for Regulation and Development of the Financial Market in January 2023. As of 31 December 2024, no additional shares had been issued.
